Welcome to Jepaks Accounting ("Service"), operated by Jepaks Systems ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our cloud-based accounting software and related services.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms constitute a legally binding agreement between you (either an individual or a legal entity) and Jepaks Systems.

2. Eligibility & Account Registration

To use the Service, you must:

Be at least 18 years old and capable of forming a binding contract
Provide accurate, complete, and current registration information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access or security breach

You represent that you are authorized to enter into this agreement on behalf of yourself or your business entity.

3. Service Description

Jepaks Accounting provides cloud-based accounting software that enables businesses to:

Create and manage invoices and quotes
Track expenses and income
Manage inventory and suppliers
Generate financial reports
Process transactions and manage cash flow

Important Disclaimer: Jepaks Accounting is accounting SOFTWARE, not an accounting SERVICE. We provide tools to help you manage your finances, but we do not provide accounting, tax, or financial advice. You are responsible for your own financial decisions and compliance with Kenyan tax laws (including KRA requirements).

4. Subscription Plans & Payment Terms

4.1 Free Trial

We offer a 30-day free trial with full access to premium features
No credit card required for trial signup
At the end of the trial, you may choose to upgrade to a paid plan
If you do not upgrade, your account will be paused but your data preserved

4.2 Paid Subscription

Subscription fees are billed monthly in advance
Current pricing: KES per month
We accept payments via M-Pesa
All fees are exclusive of applicable taxes

4.3 Payment Terms

All subscription fees are billed in advance
Payments are final and non-refundable
Your service access continues for the duration of your paid period
Contact support for any billing questions

4.4 Price Changes

We reserve the right to change subscription fees. We will provide at least 30 days' notice of any price changes. Your continued use after the change constitutes acceptance of the new pricing.

5. Acceptable Use Policy

You agree not to use the Service to:

Engage in any illegal activities or violate Kenyan laws
Attempt tax evasion or fraudulent financial reporting
Reverse engineer, decompile, or disassemble the software
Share accounts without appropriate licensing
Upload malicious code, viruses, or harmful content
Violate intellectual property rights of others
Use automated systems to access the Service excessively
Impersonate any person or entity

We reserve the right to investigate and take appropriate action against violations of this policy, including suspension or termination of your account.

6. Intellectual Property Rights

6.1 Our Rights

The Jepaks Accounting software, including all source code, databases, functionality, designs, and trademarks, are owned by Jepaks Systems and protected by Kenyan and international intellectual property laws.

6.2 Your Rights

You retain all ownership rights to the data you input into the Service. We claim no ownership over your business data, financial records, or customer information.

6.3 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. This license does not include the right to:

Resell, sublicense, or commercially exploit the Service
Copy, modify, or create derivative works
Use the Service to build a competitive product
Remove any proprietary notices

7. Data Responsibilities & Privacy

7.1 Your Data Responsibilities

You are solely responsible for the accuracy of data entered
You must ensure compliance with data protection laws for your data
You grant us a license to process your data to provide the Service
You maintain ownership of all your data

7.2 Our Privacy Commitment

Our collection and use of personal information is governed by our Privacy Policy, which complies with the Kenya Data Protection Act 2019. By using the Service, you consent to such processing.

7.3 Data Export & Portability

During your subscription period, you may export your data in available formats. We will provide reasonable assistance for data migration upon request.

8. Service Availability & Support

8.1 Uptime Commitment

We strive for 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may need to perform maintenance that temporarily affects availability.

8.3 Service Limitations

The Service is provided "as is" and "as available." We make no warranties regarding:

Compatibility with all hardware or software
Results obtained from using the Service

9. Termination & Suspension

9.1 By You

You may terminate by contacting support. Termination becomes effective at the end of your billing cycle.

9.2 By Us

We may suspend or terminate your access to the Service if:

You breach these Terms
You fail to pay subscription fees
You engage in fraudulent or illegal activities
Required by law or governmental authority
You pose a security risk to the Service

9.3 Effect of Termination

Upon termination:

Your right to use the Service immediately ceases
We will retain your data for 90 days to allow for export
After 90 days, we may delete your data in accordance with our data retention policy
You remain liable for any outstanding payments

10. Limitation of Liability & Disclaimers

10.1 Important Financial Disclaimer

Jepaks Accounting is a software tool, not a financial advisor. You are solely responsible for:

Compliance with Kenyan tax laws (KRA requirements)
Accuracy of financial records and reports
Business decisions based on Service outputs
Consulting with qualified professionals for accounting/tax advice

10.2 Limitation of Liability

To the maximum extent permitted by Kenyan law, Jepaks Systems shall not be liable for:

Any indirect, incidental, or consequential damages
Loss of profits, revenue, or business opportunities
Loss or corruption of data
Any damages exceeding the amount you paid in the last 12 months

10.3 Indemnification

You agree to indemnify and hold harmless Jepaks Systems from any claims, damages, or losses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Governing Law & Dispute Resolution

11.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles.

11.2 Dispute Resolution

In the event of any dispute:

We encourage direct communication to resolve issues amicably
If unresolved, disputes shall be submitted to mediation in Nairobi
If mediation fails, disputes shall be resolved in the courts of Kenya

11.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

Posting the updated Terms on this page
Sending an email notification to registered users
Displaying a notice within the Service

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with significant changes, you may terminate your account.
